History of DMS Imaging

DMS Imaging has a rich and diversified heritage. A solid foundation has been set and the company continues to expand. Over the past several years, three mobile imaging groups that offered different but important and distinct perspectives were combined to create one unrivaled company. DMS Imaging has grown to serve facilities throughout the United States with exceptional service in all diagnostic-imaging modalities.

Northern Radioisotope Laboratory, Inc. (NRL) was incorporated on October 24, 1974 for the purpose of providing rural healthcare facilities with specialized diagnostic imaging capabilities. NRL initially operated one rectilinear scanner and provided services to five healthcare facilities in Northern Minnesota.

In February of 1978, NRL officially changed its name to Northern Medical Imaging, Inc. (NMI). It was then serving more than 30 facilities, and its services included new ultrasound capabilities. The expansion to ultrasound was just the beginning of NMI's commitment to make new diagnostic imaging modalities available to rural healthcare facilities.

In 1983, NMI formed a sister company, Shared Technologies, Inc., to test market mobile CT scanning services. The operation proved successful, and in January 1985, Shared Technologies, Inc. was merged with NMI. In August of 1992, NMI established a sales and marketing division, which offered diagnostic medical equipment on lease or purchase arrangements.

NMI expanded its territory from Minnesota to include Colorado, Idaho, Iowa, Kansas, Missouri, Montana, Nebraska, North Dakota, Oregon, South Dakota, Utah, Washington, Wisconsin, and Wyoming. At that time, NMI owned and/or operated 33-MRI systems, 30-CT systems, seven Nuclear Medicine Systems, nine Ultrasound systems, three Bone Densitometry systems, and two Mammography systems.

Otter Tail Corporation (NASDAQ: OTTR) acquired NMI in 1996. Otter Tail is a diversified corporation with interests in an electric utility, health services, manufacturing, plastics and other businesses. This acquisition placed NMI in the health services group along with DMS Health Technologies (f.k.a. Diagnostic Medical Systems, Inc.) and Imaging Plus, Inc. NMI and Imaging Plus, Inc. were then combined as DMS Imaging.

In April of 1999, the mobile imaging division of DMS Imaging became accredited by The Joint Commission. Attaining this accreditation demonstrates DMS Imaging's commitment to provide high quality care to the healthcare facilities that we serve.

DMS Imaging purchased the assets of Portable X-Ray & EKG, Inc. (PXE) in June 2000. PXE provides portable X-ray, Ultrasound and EKG services to nursing homes and healthcare facilities in the Minneapolis area.

In May 2001, DMS Imaging purchased Hospital Imaging Services (HIS), based in Horton, Kansas. HIS provided mobile CT services to Northeastern Kansas. This acquisition allowed for better continuity of service throughout Kansas.

Also in 2001, Interim Solutions and Sales was purchased. This now makes up the division of DMS Interim Solutions, which offers imaging systems for short or long-term rental.

Today, DMS Imaging offers mobile, interim, fixed-site and portable imaging solutions. The company employs approximately 300 full and part-time employees, and is an active member of its home-base business environment. Mobile diagnostic imaging systems representing all modalities travel throughout the United States bringing services to communities who otherwise may not have those capabilities. In addition, DMS Imaging's professional staff live with, appreciate, and care about the people they serve.

DMS Imaging continues to be alert to new diagnostic imaging modalities, and will continue to share a full range of services with its clients. DMS Imaging knows that the availability of state-of-the-art diagnostic imaging equipment has an impact on the ability of rural health care facilities to care for its patients and to attract and hold physicians. DMS Imaging also understands that rural healthcare facilities are frequently a major economic factor in small communities and is proud to contribute to their stability.
